1. Agreement to These Terms
These Terms & Conditions (“Terms”) are a legally binding agreement between you (whether personally or on behalf of an entity, “you”) and WiseSkys LLC, a Kentucky limited liability company (“WiseSkys,” “we,” “us,” or “our”), with a registered office at 96 Old Way School Rd, London, KY 40741. They govern your access to and use of https://www.wiseskys.com and any related pages, content, products, and services (collectively, the “Site”). By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Site.
We may update these Terms at any time while subscription is active or by request. Changes take effect when posted, and we will update the “Last updated” date above. Your continued use of the Site after changes are posted means you accept the revised Terms. The Site is intended for users who are at least 18 years old.
2. Our Products and Services
WiseSkys provides commercial aerial photography and unmanned aircraft systems (UAS / drone) services, and develops and licenses FlightDeck, our commercial UAS operations software. We make reasonable efforts to describe our products and services accurately, but we do not warrant that descriptions, pricing, or availability are error-free, and all offerings are subject to change or discontinuation at any time. Prices are in U.S. dollars and may change without notice.
3. FlightDeck Software & Licenses
FlightDeck is licensed, not sold. Your use of FlightDeck is subject to these Terms and to the FlightDeck End-User License Agreement provided with the software.
- Free trial. FlightDeck may be installed and used on a fully functional basis for thirty (30) days from activation at no charge.
- Per-pilot license. Continued use after the trial requires a paid license (base price $250 per pilot, one-time), which we activate by issuing an RSA license key tied to the user’s email address. The per-pilot license is a perpetual, non-exclusive, non-transferable license to use the software on one device per licensed seat.
- Hosted platform & subscription services. The FlightDeck Project Manager dashboard, data synchronization, and related cloud services are provided on a subscription basis and require an active, paid subscription. These services are hosted on cloud infrastructure controlled by WiseSkys. If a subscription lapses, the hosted services may be suspended; locally installed clients continue to operate offline under the per-pilot license.
- Restrictions. You may not copy (except one backup), modify, distribute, resell, sublicense, rent, or share the software or any license key; use it beyond your licensed seats; circumvent the licensing, authentication, or sync controls; or reverse engineer, decompile, or disassemble the software except to the extent permitted by law.
- Enterprise agreements control. Where you and WiseSkys have signed a separate Master Software License and Services Agreement or similar contract, that agreement governs the licensed software and services and controls over these Terms in the event of any conflict.
- Ownership. WiseSkys retains all intellectual property rights in FlightDeck. You own the operational data you create; the data you sync to the hosted platform remains yours and is exportable at any time.
4. Drone & Aerial Services
Aerial and UAS services are performed in accordance with applicable FAA regulations, including 14 CFR Part 107, and are subject to weather, airspace authorization, site conditions, and safety considerations. We may reschedule or cancel a mission when conditions are unsafe or authorization is unavailable, and we will communicate changes as early as practicable. You agree to provide accurate site information and any access or permissions required. We do not guarantee specific creative, inspection, or data outcomes, and final deliverables, formats, and timelines are as described in your order or a separate service agreement.
5. Accounts & Registration
Some features, including the client portal and purchases, require an account. You agree to provide accurate, current, and complete information, to keep it updated, and to keep your password confidential. You are responsible for all activity under your account. We may suspend or terminate accounts that contain false information or that are used in violation of these Terms.
6. Purchases & Payment
We accept Visa, Mastercard, Discover, and PayPal. You agree to provide current, complete, and accurate purchase and account information and to promptly update it as needed. All payments are in U.S. dollars, and applicable sales tax will be added. You authorize us to charge your selected payment method for your order.
Subscriptions and recurring charges. If your order includes a subscription or other recurring charge, you authorize us to charge your payment method on a recurring basis until you cancel, in accordance with the plan you selected. We may correct pricing errors and refuse or cancel any order at our discretion, including orders that appear to be for resale.
7. Returns & Refunds
Please review our Refund Policy before purchasing. Because FlightDeck offers a 30-day free trial before any charge, license fees are generally non-refundable once a license key has been issued, except as stated in the Refund Policy or required by law.
8. Intellectual Property
Unless otherwise indicated, the Site and its content — including software, designs, text, photographs, graphics, and the WiseSkys and FlightDeck names and logos (the “Marks”) — are owned by or licensed to WiseSkys and are protected by intellectual property laws. You may access and use the Site for your personal or internal business use only. No content or Marks may be copied, republished, sold, or otherwise exploited without our prior written permission, except as expressly allowed by these Terms or the software license.
9. User Content & Feedback
If you post comments, reviews, or other content on the Site, you are responsible for it and represent that it is lawful, accurate, not infringing, and not offensive or misleading. You grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute such content in connection with the Site. We may remove any content at our discretion. Any feedback, ideas, or suggestions you provide about our products or services are non-confidential, and we may use them without restriction or compensation.
10. Prohibited Activities
You agree not to use the Site to: violate any law or the rights of others; upload viruses or malicious code; interfere with, disrupt, or place an undue burden on the Site or its security; scrape, harvest, or collect data or user information by automated means; circumvent or disable any security, licensing, or access controls; impersonate others; or use the Site to compete with us or for any unauthorized commercial purpose.
11. Third-Party Websites & Links
The Site may link to third-party websites or content that we do not control or endorse. We are not responsible for third-party sites, content, or transactions, and your use of them is at your own risk and subject to their terms.
12. Privacy
We care about data privacy. Please review our Privacy Policy, which is incorporated into these Terms. The Site is hosted in the United States; by using it you consent to the processing of your data in the United States.
13. Disclaimer
THE SITE, PRODUCTS, AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND YOUR USE IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE. FLIGHTDECK IS AN OPERATIONS AND RECORD-KEEPING TOOL AND IS NOT A SUBSTITUTE FOR YOUR INDEPENDENT COMPLIANCE WITH FAA REGULATIONS AND SAFE OPERATING JUDGMENT.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WISESKYS AND ITS MEMBERS, MANAGERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SITE, PRODUCTS, OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100 IF YOU HAVE PAID NOTHING.
15. Indemnification
You agree to defend, indemnify, and hold WiseSkys harmless from any loss, liability, claim, or demand, including reasonable attorneys’ fees, arising from your use of the Site, your content, your breach of these Terms, or your violation of any law or third-party right.
16. Term & Termination
These Terms remain in effect while you use the Site. We may deny access to or terminate your use of the Site or your account at any time, without notice, for any breach of these Terms or applicable law. Provisions that by their nature should survive termination will survive.
17. Governing Law
These Terms and your use of the Site are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-law rules. The U.N. Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) do not apply.
18. Dispute Resolution
The parties will first try to resolve any dispute through informal negotiation. If unresolved, the dispute will be settled by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (and the AAA Consumer Rules where applicable), conducted in Kentucky or by remote means. You and WiseSkys waive the right to a jury trial and to participate in a class action. Either party may bring claims for intellectual property rights, unauthorized use or piracy, or injunctive relief in the state or federal courts located in Kentucky, and may seek to enforce an arbitration award there. Any claim must be brought within one (1) year after the cause of action arises.
19. Electronic Communications & Signatures
By using the Site, emailing us, or completing forms, you consent to receive communications electronically and agree that electronic agreements, notices, and records satisfy any requirement that they be in writing, and that electronic signatures are valid.
20. California Residents
California residents may report unresolved complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs, 1625 N. Market Blvd., Suite N-112, Sacramento, CA 95834, or by phone at (800) 952-5210.
21. Miscellaneous
These Terms, the Refund Policy, the Privacy Policy, and any order or signed agreement constitute the entire agreement between you and WiseSkys regarding the Site. Our failure to enforce any provision is not a waiver. If any provision is found unenforceable, the remaining provisions stay in effect. We may assign these Terms; you may not without our consent. We are not liable for delays or failures caused by events beyond our reasonable control.
23. Aerial Imagery Disclaimer
All aerial imagery, orthomosaic maps, 2D/3D models, point cloud data, digital elevation models, and any apparent property boundary lines, markers, or demarcations visible in deliverables produced by WiseSkys LLC are provided strictly for informational and general visual reference purposes only. This content does not constitute, and shall not be construed as, a legal land survey, boundary determination, or professional survey of any kind.
WiseSkys LLC and its operators are not licensed Professional Land Surveyors in the Commonwealth of Kentucky or any other jurisdiction. Any property boundary lines, markers, or apparent demarcations depicted in aerial imagery or derived map products are approximations based on visible ground features and/or publicly available reference data only. They are provided solely as general visual references and carry no legal authority.
For any purpose requiring a legally binding property boundary determination, legal description, subdivision plat, corner monumentation, or official survey, the recipient must retain the services of a licensed Professional Land Surveyor (PLS) in accordance with KRS Chapter 322 (Kentucky Professional Land Surveyors Act).
By accepting or using WiseSkys LLC deliverables, the recipient acknowledges and agrees that: (1) aerial imagery and mapping data are not a substitute for a licensed land survey; (2) any boundary lines or markers visible in imagery are for general visual reference only; and (3) WiseSkys LLC assumes no liability for any decisions, actions, disputes, or claims arising from the use of aerial imagery or map products as a substitute for, or in lieu of, a licensed land survey.
